In Simple Terms: This license allows you to use the boilerplate to build as many projects as you want. You can't resell the boilerplate itself or share it with others who haven't purchased a license.
1. Definitions
"Software" refers to the Pondhouse VPS Next.JS Boilerplate, including all source code, documentation, and associated materials.
"Licensor" refers to Pondhouse Data OG, the owner and distributor of the Software.
"Licensee" refers to the individual or entity that has purchased a license to use the Software.
2. License Types
The Pondhouse VPS Next.JS Boilerplate offers two license types which are both applied upon purchasing the Software. Licensees are able to use the Software according to both the personal and team license.
2.1 Personal License
The Personal License grants an individual developer:
- Right to use the Software for creating unlimited personal and commercial projects
- Ability to modify and customize the Software for any project
- Use on multiple personal development machines
2.2 Team License
The Team License grants organizations:
- Right to use the Software by unlimited team members within the organization
- Permission to create unlimited commercial and internal projects
- Ability to modify and customize the Software for any project
- Use across multiple development machines within the organization
3. Grant of License
Subject to the terms of this Agreement and payment of the applicable license fee, Licensor grants Licensee a non-exclusive, perpetual license to:
- Use the Software for creating and deploying unlimited applications
- Modify the Software for Licensee's own use
- Create derivative works based on the Software for Licensee's own use
- Use the Software across multiple projects and deployments
- Use the software as part of a team of unlimited size
4. Restrictions
Regardless of license type, Licensee may NOT:
- Redistribute, sell, lease, or sublicense the boilerplate itself
- Use the Software to create derivative products for sale as competing boilerplate products
- Remove or modify any proprietary notices or labels on the Software
- Share license keys or access credentials outside the licensed individual/organization
- Transfer the license to another individual or organization
5. Ownership
The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.
6. Support
Support is limited to:
- Documentation provided with the Software
- Specified support channels
- The version of the Software currently in use
- Standard features and functionality
7. Permitted Uses
Licensees ARE allowed to:
- Create unlimited end products for clients or employers
- Charge for services related to implementing the Software
- Modify the Software for any project needs
- Use the Software in both personal and commercial projects
- Deploy to unlimited servers or VPS instances
- Use within any team context
8. Term and Termination
This license is perpetual unless terminated. Licensor may terminate this license if Licensee fails to comply with any term or condition of this Agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies.
9. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.
11. Indemnification
Licensee agrees to indemnify and hold harmless Licensor from any claims arising from Licensee's use of the Software.
12. Usage Attribution
It's not required to provide attribution when using the Software in projects. Social media shoutouts or links to the Software are appreciated but not mandatory.
13. General Provisions
- This Agreement constitutes the entire agreement between the parties
- This Agreement is governed by the laws of Austria, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law in your country to residence. Pondhouse Data OG and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Vorarlberg, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in Austria, or in the EU country in which you reside.
14. Acknowledgment
BY USING THE SOFTWARE, LICENSEE ACKNOWLEDGES THAT THEY HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
